SkyWater is one of the few U.S. foundries cleared to build defense grade chips. After July 31, IonQ's rivals will share it with their competitor.
IonQ has cleared its final regulatory hurdle to acquire SkyWater Technology, the largest exclusively U.S.-based semiconductor foundry, in a $1.8 billion cash-and-stock deal set to close on July 31, 2026. SkyWater will keep serving its existing defense and commercial customers as a wholly owned subsidiary, IonQ said in its 8-K filing. But it is also the foundry several of IonQ's quantum rivals, including D-Wave, EeroQ, PsiQuantum, and Silicon Quantum Computing, have used to fabricate their own chips.
That dual role is the structural change the joint press release leaves out. IonQ now calls itself the "first vertically integrated, full-stack quantum platform company," citing direct control over design, wafer fab, advanced packaging, and system integration. Its roadmap: 200,000 physical qubits, with 2028 functional testing pulled forward, the company says, by removing merchant-foundry queue delays.
For those four rivals, the question is what "removing queue delays" means for them. SkyWater is one of the few fabs with DMEA Category 1A Trusted Foundry status, a credential the Defense Department and its primes require for sensitive chips. IonQ has promised to maintain SkyWater's merchant pure-play model. None of the affected rivals has announced an alternative U.S. trusted fab.
SkyWater's 2025 purchase of Fab 25 already added domestic capacity. Whether that headroom absorbs both IonQ's roadmap and rival demand is the open question.
